Terms and Conditions

By using the services of Flamingo Media Marketing ("FMM"), you agree to be bound by these Terms and Conditions ("Terms").

  1. Services and our responsibilities
    • FMM provides social media marketing services, which may include:
    • Social media strategy development
    • Content creation (not limited to text, images, graphics, video)
    • Social media account management
    • Community engagement and moderation
    • Social media advertising campaign management
    • Analytics and Reporting
    • Specific services will be outlined in a separate contract or service agreement on an ad hoc basis
  2. Client Responsibilities
    • You will provide FMM with accurate information, access, and resources necessary to perform its services
    • You are responsible for the legality of content provided to FMM
    • You will promptly review and provide feedback on deliverables
    • You will make timely payments according to the agreed-upon schedule
  3. Fees and Payment
    • Fees will be outlined in the contract or service agreement and are based on our pricing structure
    • Fees may benefit from any current promotion or promotional period that we offer and will be outlined in the contract or service agreement
    • Payment terms are in advance, (unless otherwise agreed) and will be outlined in the contract or service agreement. (e.g., deposit required, net 7 days, etc.)
    • Late payments may incur fees
  4. Intellectual Property
    • FMM retains ownership of concepts, strategies, and materials created during the engagement
    • Clients may not use FMM's work beyond the agreed scope without express written consent from FMM
  5. Confidentiality
    • Both FMM and you agree to maintain the confidentiality of each other's proprietary information, failure to do so will result in legal action being taken against you
  6. Termination
    • Either party may terminate the agreement with written notice of one whole month calendar notice
    • Upon termination, you are responsible for outstanding fees for services rendered
  7. Limitation of Liability
    • FMM is not liable for lost profits or indirect/consequential damages arising from our services
    • FMM does not guarantee specific results from social media marketing campaigns. Results depend on various factors, some of which are beyond our control, including the client's industry and target audience
  8. Indemnification
    • You agree to indemnify and hold harmless FMM from claims arising from the content you provide or any content that we have provided during or after the use of our services
  9. Governing Law
    • These Terms and Conditions, and the relationship between you and Us (whether contractual or otherwise) shall be governed by, and construed in accordance with, English law
    • If you are a consumer, you will benefit from any mandatory provisions of the law in your country of residence. Nothing in Part 9 takes away from or reduces your legal rights as a consumer
    • If you are a consumer, any dispute, controversy, proceedings, or claim between you and Us relating to these Terms and Conditions or to the relationship between you and Us (whether contractual or otherwise) shall be subject to the jurisdiction of the courts of England, Wales, Scotland, or Northern Ireland, as determined by your residency
    • If you are a business user, any dispute, controversy, proceedings, or claim between you and Us relating to these Terms and Conditions or to the relationship between you and Us (whether contractual or otherwise) shall be subject to the exclusive jurisdiction of the courts of England and Wales
    • These terms and conditions shall be governed by and construed in accordance with English Law
    • Any disputes relating to these terms and conditions shall be subject to the exclusive jurisdiction of the courts of the U.K.
  10. Dispute Resolution
    • Disputes will be attempted to be resolved through good faith negotiation. If unsuccessful, [mediation or another dispute resolution mechanism] will be pursued
  11. Changes to Terms
    • FMM reserves the right to update these Terms. You will be notified of significant changes
    • If any part of the current version of these Terms and Conditions conflicts with any previous version(s), the current version shall prevail unless We explicitly state otherwise
